Terms of Service

1. Scope of This Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and the ASEAN Institute Cambodia Intelligence Platform ("Platform," "we," "us," or "our"), operated under the governance of ASEAN Institute. These Terms govern your access to and use of the Platform, including all intelligence services, analytical tools, the MPPT Deep Analysis system, decision agent interfaces, data products, proprietary frameworks, and all related functionalities provided through this website and associated systems.

By accessing, browsing, registering an account, or using the Platform in any capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately discontinue all use of the Platform.

3. Eligibility

To access and use the Platform, you must be at least sixteen (16) years of age if located within the European Economic Area, or at least thirteen (13) years of age in all other jurisdictions. You must possess the legal capacity to enter into binding agreements under the laws of your jurisdiction. If you are accessing the Platform on behalf of an organization, government entity, or institution, you represent and warrant that you have the authority to bind that entity to these Terms.

4. Account Registration and Authentication

Access to certain Platform features, including the MPPT Deep Analysis system, Decision Agent, and job history, requires account registration through our OAuth authentication system powered by Manus. By registering, you authorize the Platform to receive and store your name, email address, and authentication identifiers from the OAuth provider. You are solely responsible for safeguarding your account credentials and for all activities that occur under your account.

We reserve the right to suspend or terminate any account that we reasonably determine has been compromised, is being used in violation of these Terms, or is associated with fraudulent or abusive activity. Account suspension or termination does not relieve you of obligations incurred prior to such action.

5. Acceptable Use

You agree to use the Platform solely for lawful purposes and in accordance with these Terms. The following activities are expressly prohibited:

• Using the Platform for any purpose that is illegal, fraudulent, or harmful under applicable law, including but not limited to the laws of the Kingdom of Cambodia, the United States, and the European Union.
• Attempting to gain unauthorized access to any portion of the Platform, other user accounts, backend systems, or any networks connected to the Platform.
• Using automated tools, bots, scrapers, or crawlers to extract data from the Platform without prior written authorization from ASEAN Institute.
• Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code, algorithms, or analytical methodologies of the Platform or its frameworks.
• Uploading, transmitting, or distributing any material that contains viruses, malware, ransomware, or other harmful code.
• Misrepresenting your identity, organizational affiliation, or the purpose of your use of the Platform.
• Using Platform outputs to generate misleading intelligence products, fabricated reports, disinformation, or content intended to deceive third parties.
• Submitting queries or documents designed to exploit, manipulate, or circumvent the analytical frameworks or AI systems.
• Interfering with or disrupting the integrity, performance, or availability of the Platform or its underlying infrastructure.
• Reselling, sublicensing, or redistributing Platform outputs, Services, or analytical products without explicit written authorization from ASEAN Institute.

6. Intellectual Property Rights

All intellectual property rights in the Platform, including but not limited to the software, design, text, graphics, logos, analytical frameworks, methodologies, algorithms, AI models, and all other proprietary materials, are owned by or licensed to ASEAN Institute. These rights are protected by international copyright, trademark, patent, and trade secret laws.

The analytical frameworks deployed on this Platform, including but not limited to the Helios Supra-Framework, SINE v2.0, ARCS, ARCF, MPPT-CoT, OmniSynth, and related systems, constitute proprietary intellectual property of their respective owners. No license, right, or interest in these frameworks is transferred to you by virtue of your use of the Platform.

You retain ownership of User Data that you submit to the Platform. By submitting User Data, you grant us a limited, non-exclusive, revocable license to process such data solely for the purpose of delivering the requested Services. We do not claim ownership of your submitted documents, queries, or uploaded files.

7. Service Availability and Modifications

The Platform is provided on an "as-available" basis. We do not guarantee uninterrupted, error-free, or continuously secure access. The Platform may be temporarily unavailable due to scheduled maintenance, system upgrades, infrastructure changes, or circumstances beyond our reasonable control, including but not limited to upstream API outages, network disruptions, or force majeure events.

We reserve the right to modify, suspend, or discontinue any aspect of the Platform or Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform or any feature thereof.

8. Disclaimer of Warranties

THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND COMPLETENESS OF INFORMATIONAL CONTENT.

WE DO NOT WARRANT THAT: (A) THE PLATFORM WILL MEET YOUR SPECIFIC REQUIREMENTS; (B) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM THE USE OF THE PLATFORM, INCLUDING ANALYTICAL OUTPUTS, BRANCH ANALYSES, QUANTUM RANKINGS, AND DECISION RECOMMENDATIONS, WILL BE ACCURATE, RELIABLE, OR COMPLETE; OR (D) ANY ERRORS IN THE PLATFORM WILL BE CORRECTED.

9. Limitation of Liability

IN NO EVENT SHALL ASEAN INSTITUTE, ITS FOUNDER, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR REPUTATION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (USD $100.00). THIS LIMITATION APPLIES REGARDLESS OF WHETHER THE PLATFORM IS PROVIDED FREE OF CHARGE.

10. Indemnification

You agree to indemnify, defend, and hold harmless ASEAN Institute and its founder, officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or in connection with: (a) your use of the Platform or Services; (b) your violation of these Terms; (c) your violation of any applicable law, regulation, or third-party right; (d) any User Data you submit to the Platform; or (e) your reliance on any analytical output or intelligence product generated by the Platform.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Cambodia, without regard to its conflict of law provisions. For users located within the European Economic Area, nothing in these Terms shall deprive you of the protection afforded by mandatory provisions of the law of your country of habitual residence.

Any dispute arising out of or in connection with these Terms shall first be submitted to good-faith negotiation between the parties for a period of thirty (30) calendar days. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration administered under the rules of the National Arbitration Center of Cambodia. For users in the European Economic Area, disputes may alternatively be brought before the competent courts of the user's country of habitual residence.

12. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, for any reason, including but not limited to violation of these Terms, suspected fraudulent activity, or conduct that we determine is harmful to the Platform, its users, or third parties. Upon termination, your right to access and use the Platform ceases immediately. Provisions that by their nature should survive termination (including Sections 6, 8, 9, 10, and 11) shall survive.

13. Modifications to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through a prominent notice on the Platform or via email to registered users at least fourteen (14) days before the changes take effect. Your continued use of the Platform following the effective date of modified Terms constitutes your acceptance of those changes. If you do not agree to the modified Terms, you must discontinue use of the Platform before the effective date.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and Disclaimer, constitute the entire agreement between you and ASEAN Institute regarding your use of the Platform. These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and ASEAN Institute.
